Polestar intends to go public

Polestar has never gone it alone. We’ve had plenty of collaborators, kindred spirits, and fellow EV enthusiasts with us on our journey towards sustainable electric mobility. And now, in Gores Guggenheim Inc., we have a new partner. One with whom we intend to go public, pursuant to a business combination agreement which we have signed.

The proposed business combination with Gores Guggenheim Inc., an American special purpose acquisition company (SPAC) formed by the Guggenheim Partners and The Gores Group, does more than just give Polestar a Nasdaq ticker. It creates a solid platform for future growth, which is what’s required with the three new Polestar vehicles we plan to introduce by 2025.

The Gores Group, an affiliate of Gores Guggenheim Inc. has a proven track record of successfully partnering with leading companies. Polestar has a start-up-meets-almost-100-years-of-experience profile, along with being one of only two global pure play EV brands. This partnership makes sense. The business combination won’t affect Polestar customers, nor will it see us move our HQ. But it will see us take our sustainable electric performance ambitions to the next level.

We’ve never gone it alone. Now, however, it’s time to officially partner up.

Time to go public.

Q: What does the proposed business combination with Gores Guggenheim, Inc. mean for Polestar?

A: Following the consummation of the business combination between Polestar, a private company, with Gores Guggenheim, Inc., the combined company, named Polestar Automotive Holding UK Limited (“Polestar”) is expected to list on the Nasdaq stock market under the ticker symbol “PSNY”. The combined company’s shareholder base will be comprised of Polestar’s existing shareholders, who will hold a majority stake, as well as Gores Guggenheim Inc., Gores Guggenheim Inc.’s sponsor, and other public and private investors. The transaction is expected to close in the first half of 2022, subject to the receipt of approval from the Gores Guggenheim Inc. stockholders and satisfaction of other customary closing conditions. We believe that listing will help enable Polestar to generate the funds it needs to accelerate its strategy and growth.

Q: Does this have any implications for Polestar customers?

A: No – this will not affect Polestar customers and they can continue to enjoy their electric performance cars as before.

Q: When will members of the public, including Polestar customers, be able to buy shares in the new public company?

A: Polestar Automotive Holding UK Limited (“Polestar”) will become a listed entity once the business combination closes, which is expected in the first half of 2022. Members of the public will be able to buy shares in the public markets from this point in time.

Q: Does this mean that Polestar will become an American company?

A: No. Polestar remains a Swedish-headquartered global electric performance car company and we will continue to leverage our Scandinavian roots to create design-led, avant-garde electric vehicles.
